Article 1 – Seller identification

The website mhp-horlogerie.fr (hereinafter “the Site”) is published and operated by: MHP Maison Horlogère Palmer, a simplified joint-stock company (SAS) with share capital of EUR 10,000, registered with the Caen Trade and Companies Register under number 98852755200018, with its registered office at 140 rue Philippe Livry Level, 14760 Bretteville-sur-Odon, France.

Article 2 – Purpose and scope

These General Terms and Conditions of Sale (hereinafter “GTC”) govern, without restriction or reservation, all distance sales concluded between MHP and any buyer, whether a consumer or a business (hereinafter “the Customer”), wishing to purchase the products offered for sale on the Site, in particular the limited-edition watch “MHP Grand Polo Jules Legoubin” (hereinafter “the Watch”).

Any order, registration on the reservation list or payment of a deposit implies the prior, express and unreserved acceptance of these GTC, evidenced by ticking the box provided for that purpose during the ordering process.

MHP reserves the right to amend these GTC at any time. The applicable GTC are those in force on the date of the order or reservation.

Article 3 – The “MHP Grand Polo Jules Legoubin” watch – Limited edition

3.1 Characteristics of the limited edition

The “MHP Grand Polo Jules Legoubin” watch is an edition strictly limited to twenty-five (25) numbered pieces, created as a tribute to Jules Legoubin, professional polo player and ambassador of the MHP Maison Horlogère Palmer brand and of the model.

Each piece is individually numbered (no. XX/25), which gives it a unique and personalised character.

3.2 Product presentation

The Customer acknowledges that the MHP Grand Polo Jules Legoubin watch is presented on the MHP website. Its images, essential characteristics and price are accessible before any order is placed. The Customer declares having been able to review the product before ordering.

• the final design of the Watch has not yet been publicly unveiled;
• the reservation concerns an exceptional product whose appeal rests on its limited-edition nature, its numbering and its association with Jules Legoubin;
• the essential characteristics known at the date of reservation (product type “Watch”, case size “41 mm”, total price incl. VAT “EUR 7,000”, movement “SW562 MMPC”, main materials “Titanium”, horological complication “Mono-pusher chronograph”, indicative delivery time “3 months maximum after payment of the balance”) are communicated to the Customer before any commitment, on the reservation page of the Site.

The Customer declares that they accept this method of sale with full knowledge of the facts.

Article 4 – Reservation list (“list of prospective buyers”)

4.1 Registration

Purchase of the Watch is subject to prior registration on the list of prospective buyers (hereinafter “Email / Join”), accessible on the Site. Registration is validated only after:

1. creation of a customer account or provision of the Customer's full contact details;
2. acceptance of these GTC;
3. actual payment of the deposit referred to in Article 5.

4.2 Order of priority

Validated registrations are recorded in chronological order of receipt of the deposit payment. The 25 pieces are allocated in that order. Registrations beyond the 25th rank are placed on a waiting list and give rise to no deposit charge (or to a full refund if a charge has been made).

4.3 Personal nature of the reservation

The reservation is personal and may not be assigned or transferred to a third party without MHP's prior written consent.

Article 5 – Reservation deposit

5.1 Amount

Reserving a piece of the Watch requires payment of a deposit of one thousand euros including all taxes (EUR 1,000 incl. VAT).

5.2 Application to the price

The deposit of EUR 1,000 incl. VAT is deducted in full from the total price of the Watch when the Customer pays the balance.

5.3 Firm commitment – Non-refundable

Payment of the deposit constitutes a firm and final commitment to purchase on the Customer's part, relating to a limited-edition, numbered product reserved in the Customer's name, one piece of which is set aside and withdrawn from sale for their benefit.

Consequently, and subject to the provisions of Article 5.4 and Article 9 below, the deposit of EUR 1,000 incl. VAT is non-refundable if the Customer withdraws, for whatever reason, in particular in the event of:

• cancellation of or withdrawal from the purchase;
• non-payment of the balance of the price within the allotted time (Article 7);
• the Customer's disagreement with the design or aesthetic characteristics of the Watch revealed after the reservation, the Customer having expressly accepted the method of sale described in Article 3.2.

5.4 Refund by exception

The deposit is refunded in full to the Customer, without penalty, in the following cases:

• cancellation of the project or non-release of the Watch by MHP, for any reason whatsoever;
• registration of the Customer beyond the 25th rank without a piece being allocated to them;
• a delivery delay exceeding 3 months compared with the announced indicative date, if the Customer requests termination under the conditions of Article L. 216-6 of the French Consumer Code;
• a substantial change to the essential characteristics announced at the time of reservation (other than the design not yet revealed, accepted under Article 3.2);
• exercise by the consumer Customer of their statutory right of withdrawal under the conditions and within the periods set out in Article 9, where applicable.

The refund is made within a maximum of fourteen (14) days using the same means of payment as that used by the Customer.

Article 6 – Price

The total price of the Watch is EUR 7,000 incl. VAT (VAT at the rate in force included), excluding any delivery costs, which are indicated to the Customer before the order is confirmed.

The applicable price is the one displayed on the Site on the day of registration on the reservation list. It is firm and may not be revised between reservation and delivery, except in the event of a change in the applicable VAT rate.

Article 7 – Order confirmation and payment of the balance

7.1 Unveiling and call for the balance

From the official unveiling of the Watch, MHP notifies the Customer by email of the opening of the balance payment period, together with the final characteristics and images of the product.

7.2 Payment of the balance

The Customer has 6 days from that notification to pay the balance of the price, i.e. the total price incl. VAT less the deposit of EUR 1,000 incl. VAT.

Failing payment of the balance within that period, and after a formal notice has remained without effect for fifteen (15) days, MHP may terminate the sale automatically. The deposit shall remain acquired by MHP as fixed compensation, in accordance with Article 5.3, and the reserved piece may be reallocated.

7.3 Means of payment

Payment is made online by bank card through the secure payment provider Stripe, or by bank transfer. MHP does not store any banking data.

Article 8 – Delivery

MHP will keep the Customer informed of any change to the schedule.

The Watch is delivered to the address indicated by the Customer, by insured carrier with delivery against signature. Risk is transferred to the consumer Customer when they take physical possession of the product.

If the agreed delivery deadline is exceeded, the consumer Customer may terminate the contract under the conditions of Articles L. 216-1 et seq. of the French Consumer Code and obtain a refund of all sums paid, including the deposit.

Article 9 – Right of withdrawal

9.1 Principle

In accordance with Articles L. 221-18 et seq. of the French Consumer Code, the consumer Customer in principle has fourteen (14) days to exercise their right of withdrawal from a distance contract, without having to give reasons.

9.2 Exception – Personalised goods

In accordance with Article L. 221-28, 3° of the French Consumer Code, the right of withdrawal may not be exercised for contracts for the supply of goods made to the consumer's specifications or clearly personalised.

As the “MHP Grand Polo Jules Legoubin” watch is produced in an edition strictly limited to 25 pieces, individually numbered and allocated in the Customer's name (name engraving, serial number X/25), it constitutes a clearly personalised item made to the Customer's order.

Consequently, the Customer expressly acknowledges and accepts that the right of withdrawal does not apply to the reservation and purchase of the Watch, and that neither the deposit of EUR 1,000 incl. VAT nor the balance of the price may be refunded on that basis.

This exclusion is brought to the Customer's attention before their reservation is confirmed, and is subject to a separate express acceptance box during the ordering process.

9.3 Withdrawal form

(Please complete and return this form only if you wish to withdraw from the contract.)

Article 10 – Legal guarantees

Irrespective of any commercial warranty, the consumer Customer benefits from:

• the legal guarantee of conformity (Articles L. 217-3 et seq. of the French Consumer Code): for two (2) years from delivery, the Customer may obtain repair or replacement of non-conforming goods or, failing that, a price reduction or termination of the sale;
• the guarantee against hidden defects (Articles 1641 et seq. of the French Civil Code), for two (2) years from discovery of the defect.

Mandatory notice (Article D. 211-2 of the French Consumer Code):

The consumer has a period of two years from delivery of the goods to invoke the legal guarantee of conformity where a lack of conformity appears. During this period, the consumer need only establish the existence of the lack of conformity, not the date on which it appeared. The legal guarantee of conformity requires the seller, where applicable, to provide all updates necessary to maintain the conformity of the goods. The legal guarantee of conformity entitles the consumer to repair or replacement of the goods within thirty days of their request, free of charge and without major inconvenience to them. If the goods are repaired under the legal guarantee of conformity, the consumer benefits from a six-month extension of the initial guarantee. If the consumer requests repair of the goods but the seller imposes replacement, the legal guarantee of conformity is renewed for a period of two years from the date on which the goods are replaced. The consumer may obtain a reduction of the purchase price while keeping the goods, or terminate the contract and obtain a full refund against return of the goods, if: 1° the trader refuses to repair or replace the goods; 2° repair or replacement of the goods takes place after a period of thirty days; 3° repair or replacement of the goods causes major inconvenience to the consumer; 4° the lack of conformity persists despite the seller's unsuccessful attempt to bring the goods into conformity. The consumer is also entitled to a reduction of the price of the goods or to termination of the contract where the lack of conformity is so serious that it justifies an immediate price reduction or termination. The consumer is then not required to request repair or replacement of the goods beforehand. The consumer may not terminate the contract where the lack of conformity is minor. Any period during which the goods are unavailable with a view to their repair or replacement suspends the remaining guarantee period until the repaired goods are delivered. The consumer also benefits from the legal guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code, for a period of two years from discovery of the defect. That guarantee gives entitlement to a price reduction if the goods are kept, or to a full refund against return of the goods.

Article 11 – Retention of title

MHP retains full and complete ownership of the Watch until the price has been paid in full, including principal and ancillary amounts.

Article 12 – Liability – Force majeure

MHP may not be held liable for failure to perform its obligations in the event of force majeure within the meaning of Article 1218 of the French Civil Code. Should force majeure continue beyond 6 months and make it impossible to release the Watch, the contract may be terminated and the deposit refunded to the Customer.

Article 13 – Intellectual property

All elements of the Site and of the Watch (trademarks, designs, models, logos, images, texts, the name “MHP Grand Polo Jules Legoubin”) are protected by intellectual property rights owned or licensed by MHP. The image and name of Jules Legoubin are used under an authorised partnership. Any unauthorised reproduction is prohibited.

Article 14 – Personal data

Personal data collected on registration and ordering is processed by MHP, as data controller, for the purposes of managing the reservation list, orders, delivery and customer relations, on the basis of performance of the contract.

It is retained for as long as necessary for those purposes, plus the applicable statutory limitation periods. In accordance with the GDPR and the French Data Protection Act, the Customer has rights of access, rectification, erasure, restriction, objection and portability, which may be exercised at: contact@mhp-horlogerie.fr. The Customer may lodge a complaint with the CNIL.

Article 15 – Consumer mediation

In accordance with Articles L. 612-1 et seq. of the French Consumer Code, the consumer Customer may use, free of charge, the consumer mediator to which MHP Maison Horlogère Palmer is affiliated.

Article 16 – Governing law – Jurisdiction

These GTC and the sales they govern are subject to French law.

Any dispute shall be brought before the competent French courts. The consumer Customer may bring proceedings, at their choice, before the court of their place of residence or that of MHP Maison Horlogère Palmer's registered office. For business Customers, exclusive jurisdiction is granted to the Commercial Court of Caen.
